What is “market practice”? Despite often being cited during the Sale & Purchase Agreement (SPA) negotiation process there is limited data on what really constitutes “market practice”. Last year we surveyed over 150 UK deal practitioners to start to identify SPA completion mechanism and post-deal accounting dispute trends; this year we’re expanding the survey to cover worldwide trends.
